Addendum — International mandates

Last updated: 5 November 2026 · Version 1.0 · Document no. 108

1. Parties

Enterpoint Recruiting Agency ("Enterpoint") and the party identified in the signature form (the "Client" or the "Partner"). The full legal identity of the parties appears on the signed copy.

2. Purpose

This addendum applies to any mandate where the employer, the workplace or the candidate is outside Québec, including outside Canada, and to any mandate received from a placement agency, an RPO company, an MSP or VMS, or a recruitment partner established abroad. It completes the main agreement signed by the parties; for the mandate concerned, it prevails in case of conflict.

3. Nature of the service

Enterpoint does permanent recruitment only: the employer hires the candidate directly, on its own payroll. Enterpoint does not employ, lease or pay any worker, and does not act as employer of record (EOR) or payroll provider.

4. Mandate models

The job order states the model chosen: (A) a direct mandate from an employer; (B) candidate supplier to an agency or RPO, for that agency’s client; (C) supplier within an MSP or VMS program; (D) international recruitment partnership, where Enterpoint recruits in another market for a partner; (E) recurring recruitment pipeline for repeated hires.

5. Conditions before any presentation

No candidate is presented before: (a) a signed agreement; (b) a specific job order approved in writing; (c) verification that the candidate is already authorized to work in the job’s country, or the written commitment of the employer or its employer of record (EOR) to handle that authorization. Enterpoint never promises a visa, sponsorship or a job. Profiles are first presented anonymously, with the candidate’s written consent.

6. Local laws and licences

Each party complies with the laws of the job’s country and of the recruiting country, including rules on recruitment, non-discrimination and work. Enterpoint declines any mandate that would require a permit, registration or licence it does not hold, and never claims a licence it does not have.

7. Fees, currency and invoicing

Direct mandate (A, E): the Barème Enterpoint v3 of the main agreement applies, calculated on the base annual salary offered, converted into the agreed currency. Agency, MSP or partner (B, C, D): the split, commission or fees are fixed in writing before any presentation.

Before any presentation, the job order states: who invoices whom; the currency (Canadian dollar by default); the fee trigger (first day of work); the payment deadline (15 days unless stated otherwise); the replacement guarantee; candidate ownership and introduction protection.

Payment by business bank transfer or through an international payment provider approved in writing; transfer fees are paid by the payer. Applicable taxes and any withholding are settled before the first invoice. Candidates are never asked for any fee.

8. Personal information outside Québec

A candidate’s information is disclosed outside Québec only with the candidate’s written consent, for the mandate concerned only, after the assessment required by Québec’s Act respecting the protection of personal information in the private sector (Law 25), and in line with the rules of the receiving country (for example the GDPR in Europe). Each party notifies the other without delay of any confidentiality incident.

9. Governing law and language

This addendum is governed by the laws of Québec and the courts of the district of Montréal have jurisdiction, unless a different choice is expressly written in the job order. It is drafted in French first; an English version or a version in another language may be provided as a courtesy, and the French version prevails unless the parties expressly choose otherwise.

The document may be signed electronically; a SHA-256 fingerprint of the signed version is kept in the version register.
